General Information
Entrust Funds Management Limited ABN 33 106 768 012 AFSL 275 934 (Entrust) is the responsible entity of The 40 Market Street Trust ARSN 107 838 148 (Trust) and is (in that capacity) the issuer of this Product Disclosure Statement in relation to a nonrenounceable pro-rata conditional entitlement offer of 1.33 new units for every unit held (Entitlement) at an issue price of $0.45 per new unit to raise approximately $9 million (Offer). The Product Disclosure Statement is dated 22 January 2010.
The Offer
The Offer has two components with:
• the offer to unitholders of the Trust who are registered as unitholders on the record date of 22 January 2010 and whose registered address is in Australia (Existing Unitholders) of their Entitlement and shortfall; and
• the offer of any shortfall to new investors.
The Offer is only open to persons receiving the Product Disclosure Statement in printed form or electronically within Australia. This Product Disclosure Statement has been prepared to comply with the requirements of the laws of Australia. No units in the Trust (Units) are being offered to any person whose registered address is outside Australia. The Units have not been or will not be registered under the US Securities Act 1933 (as amended) or the securities laws of any state of the United States and they may not be offered or sold in the United States or to or for the benefit of persons resident in the United States.
No action has been taken to register Units or otherwise permit a public offering of Units in any jurisdiction outside of Australia. This Product Disclosure Statement does not constitute an offer or invitation in any place in which, or to any person to whom, it would not be lawful to make such an offer or invitation.
The distribution of this PDS in jurisdictions outside Australia may be restricted by law and persons who come into possession of it who are not in Australia should seek advice on and observe any such restrictions.

The Offer will be made in, or accompanied by, a copy of the Product Disclosure Statement. The electronic copy of the Product Disclosure Statement is available on this website. Access to the electronic copy of the Product Disclosure Statement on this website may be restricted by law in jurisdictions outside of Australia and this website does not constitute an offer of, or an invitation to subscribe for, Units in any place in which, or to any person to whom, it would be unlawful to make such an offer or invitation. You may print out a hard copy of the Product Disclosure Statement from this website or copy the electronic Product Disclosure Statement on this website into an electronic file for personal use only. You must not alter the contents of this electronic file in any way. You must not make a copy of the Product Disclosure Statement available to a person outside Australia, particularly a person in the United States.

Entrust reserves the right to refuse to issue Units to any applicant if they believe that:
• the applicant did not receive the electronic Product Disclosure Statement in Australia; or
• the applicant did not have access to the electronic Product Disclosure Statement at the same time and by the same means as the applicant had access to the relevant application form.
Paper copies of Product Disclosure Statement
A paper copy of the Product Disclosure Statement will also be provided free of charge to any person in Australia before the closing date of the Offer, currently scheduled for 5.00pm (Perth time) on 23 February 2010, by telephoning Entrust on 08 9476 3900.
Entitlement and Acceptance Form
Existing Unitholders may only exercise their Entitlements and subscribe for new Units (including any shortfall) in accordance with the instructions in the personalised Entitlement and Acceptance Form which accompanies their paper copy of the Product Disclosure Statement. The completed Entitlement and Acceptance Form, together with your cheque for the Application Monies should be forwarded to the following address:

by no later than the Existing Unitholders’ closing date, which is currently scheduled for 5:00pm (Perth time) on 19 February 2010.

The Product Disclosure Statements and personalised Entitlement and Acceptance Forms will be dispatched on or about 28 January 2010. If you are an Existing Unitholder and did not receive a personalised Entitlement and Acceptance Form, please contact Entrust on 08 9476 3900.
The electronic copy of the Product Disclosure Statement on this website does not contain an Entitlement and Acceptance Form.
New Investor Application Form
If you are not an Existing Unitholder and wish to participate in the Offer and subscribe for new Units, you can print and complete the New Investor Application Form attached to, or accompanied by the electronic Product Disclosure Statement, in accordance with the details set out in the Product Disclosure Statement. Alternatively, a paper copy of the New Investor Application Form is attached to the paper copy of the Product Disclosure Statement and can be obtained free of charge by telephoning Entrust on 08 9476 3900. The new Units to which the electronic Product Disclosure Statement relate will only be issued on receipt of a New Investor Application Form included in, or accompanying the electronic Product Disclosure Statement.

Privacy
By applying for new Units, Entrust may update the personal information already obtained from Existing Unitholders or collect new information from both Existing Unitholders and new investors. Such information will be used to process your application and manage your investment in the Trust. Under the Privacy Act 1988 (Cth), you may request access to your personal information held by (or on behalf of) Entrust. Entrust reserves the right to charge an administration fee for collating the information that you request.
